Аннотация по заполнению:

Данный договор применяется при закупках химии, МТР и ЗИП. В договоре в значительной мере сокращены процедуры приёмки, проверки и замены приобретённого товара. Для закупок дорогостоящего или технически-сложного товара рекомендуется использовать расширенные версии договора.

Данный договор необходимо использовать с соответствующими заказами, так как часть значимых условий перенесена в заказы.

Необходимо заполнить все поля договора.

Валюта договора и заказов к нему должна совпадать. Не допускается указание в заказах валюты, отличной от валюты договора.

Корректировка условий предоставления сертификата происхождения, а также предоставления сертификата не в соответствии с требованиями может привезти к дополнительным таможенным расходам.

Перед отправкой договора контрагенту обязательно выберите применимые условия и удалите альтернативные варианты.

Form: Advance payment Bond (Irrevocable and Unconditional) to: [⚫]

WHEREAS, you SIBUR Holding PJSC, a corporation organized and existing under the laws of the Russian Federation and having an office at [⚫] (hereinafter called "you" or "SIBUR" as applicable), concluded the FRAMEWORK PURCHASE CONTRACT No. [⚫] dated [⚫] (the "CONTRACT") with the [⚫], a corporation organized and existing under the laws of the [⚫] and having an office at [⚫] (hereinafter called the "APPLICANT").

We understand that in accordance with the CONTRACT, you are required to make an advance payment of [⚫] % of the CONTRACT PRICE in the amount of [⚫] in favor of the APPLICANT. The said advance payment shall be made against an advance payment guarantee (the "ADVANCE PAYMENT BOND"), securing the obligations of the APPLICANT to use the advance payment in accordance with its purpose or to repay the advance payment in cases provided in the CONTRACT.

At the request of the APPLICANT we [⚫], a corporation organized and existing under the laws of the [⚫] and having an office at [⚫] (the "GUARANTOR"), hereby irrevocably and unconditionally undertake, as primary obligor, to pay you within 5 (five) banking days from the date of receipt of your first written demand, irrespective of the validity and legal effect of the CONTRACT and waiving all rights of objection and defense and without reference to the APPLICANT, any amount up to a total of [⚫] (amount of the ADVANCE PAYMENT BOND is [⚫]% of the CONTRACT PRICE).

TEMPLATE

Written demand for payment shall contain a statement indicating that the APPLICANT has breached its obligations under the CONTRACT without description in what respect the APPLICANT is in breach. Neither calculations nor any confirming or evidencing documents are required to be attached to your demand(s). We shall not check or verify the events or actions specified in your demand.

We shall accept your written demand if it:

is sent by you to our offices at the address indicated above; or

is sent to our offices at the address indicated above by intermediary Beneficiary bank, together with SWIFT confirmation that the signatures in the demand are legally binding upon your firm; or

is sent in electronic form by intermediary Beneficiary bank by way of SWIFT.

One or more than one demand may be presented under this ADVANCE PAYMENT BOND. The amount of this ADVANCE PAYMENT BOND will automatically be reduced by the amount of each payment made by us hereunder.

Payment under this ADVANCE PAYMENT BOND will be made in [⚫] [Currency of payment to be the same as the currency under the CONTRACT]. If at the moment of our due payment under this ADVANCE PAYMENT BOND it will be illegally or otherwise impossible for us to pay you in [⚫] we shall immediately inform you and pay the amount demanded by you in [⚫] at the Bank of Russia currency rate determined on the date of payment.

This ADVANCE PAYMENT BOND comes into force from the date of issuance and expires in full and automatically on [⚫], if your demand has not been received by us on or before that date and irrespective of whether the original of this ADVANCE PAYMENT BOND is returned to us or not and provided that termination shall not affect GUARANTOR'S liability hereunder for sums which have been duly demanded to be paid during the validity of this ADVANCE PAYMENT BOND.

We shall have no right to assign or transfer our obligation under this ADVANCE PAYMENT BOND to any party.

We shall have no right to make any amendments or changes to this ADVANCE PAYMENT BOND without your prior written consent, except for amendments and changes related to extension of the duration of the present ADVANCE PAYMENT BOND or increase of the amount hereof. In giving your written consent for the amendments or changes to the present ADVANCE PAYMENT BOND you may use any method provided for you herein in respect to delivery of a demand hereunder.

TEMPLATE

You may assign or transfer all or part of you rights under this ADVANCE PAYMENT BOND to any party with our prior written consent. For the avoidance of doubt, nothing in this ADVANCE PAYMENT BOND shall confer on any third party any benefit or the right to enforce any term of this ADVANCE PAYMENT BOND.

Unless agreed in the present ADVANCE PAYMENT BOND, this ADVANCE PAYMENT BOND is subject to the Uniform Rules for Demand Guarantees, ICC Publication No. 758 (URDG) publication 2010. And the corrective measures not governed by the URDG shall be governed by and construed in accordance with the English law.

Any dispute, controversy or claim arising out of or in relation to this ADVANCE PAYMENT BOND or the breach, existence, termination or validity thereof shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce. The language of the arbitration proceedings shall be English and all awards shall be in English. The place (or seat) of the arbitration proceedings shall be Stockholm, Sweden. The arbitration proceedings shall remain entirely confidential.

Additional requirements:

Product must be no change in the color, impurities and other components. The supplier must

provide a certificate of analysis and a safety data sheet for the product.

Packaging: packaging should exclude damage to the product or its loss during transportation.

The package must contain information allowing identification of the product (name, gross weight,

net weight, manufacturing company, country of origin).

Storage: product must be stored in unopened packaging; in a cool, dry, well-ventilated area; keep

away from strong oxidizing agents.

Shelf life: at least 12 months after manufacture if stored according to the instructions on the MSDS
